Terms and Conditions

These Terms and Conditions govern access to and use of the Tahdeeth website, platform, dashboard, CLI, SDK, documentation, and related enterprise services. Tahdeeth is owned by شركة المورد العام للتجارة. By accessing or using Tahdeeth, you agree to these Terms. If you are using Tahdeeth on behalf of an organization, you represent that you are authorized to bind that organization.

1. Enterprise Access and Onboarding

Tahdeeth is provided to enterprise customers after onboarding only. The public website does not provide open self-service registration or online purchasing. Commercial access is handled through contact sales, proposals, order forms, invoices, and enterprise agreements. Tahdeeth reserves the right to accept, reject, suspend, or terminate access in accordance with the applicable agreement and these Terms.

2. Deployment Models

2.1 SaaS

Tahdeeth SaaS is provided through customer-specific hosted environments using multiple cloud providers. SaaS may be hosted outside the Kingdom of Saudi Arabia. Availability commitments, support scope, and service credits, if any, are governed by the applicable order form or commercial agreement. Unless expressly stated otherwise, the guaranteed SLA is 99.0%.

2.2 On-Premise

On-premise deployments are installed within the customer environment. The customer is responsible for infrastructure, network connectivity, identity integration, access controls, monitoring, backup, disaster recovery, security hardening, and operational continuity unless otherwise agreed in writing.

3. Permitted Use

Tahdeeth may be used to manage and deliver permitted React Native over-the-air updates, including JavaScript bundles, assets, release metadata, controlled rollouts, and rollback workflows. Customers must use Tahdeeth only in compliance with applicable laws, app store policies, platform rules, security requirements, and their internal release governance.

4. Prohibited Use

Using Tahdeeth to distribute unlawful, malicious, infringing, deceptive, or unauthorized content. Using OTA updates to bypass Apple App Store, Google Play, or other platform rules. Uploading malware, spyware, vulnerable code intentionally, or content that compromises users, systems, or networks. Attempting to reverse engineer, copy, resell, sublicense, modify, or create competing services based on Tahdeeth, except where expressly permitted in writing. Attempting unauthorized access to Tahdeeth, customer instances, accounts, logs, infrastructure, or other users' data.

5. Customer Responsibilities

Customers are responsible for all release decisions, approvals, and production deployments performed through their Tahdeeth instance. Customers must test releases before production rollout and must maintain internal approval controls appropriate to their risk environment. Customers are responsible for the code, bundles, assets, metadata, and content they upload or distribute using Tahdeeth. Customers are responsible for managing users, roles, LDAP/AD integration, RBAC configuration, and access reviews. Customers are responsible for complying with regulatory obligations applicable to their business, including obligations in banking, fintech, telecom, government, or other regulated sectors.

6. Intellectual Property

Tahdeeth, including the platform, dashboard, CLI, SDK, documentation, designs, workflows, architecture, trade names, trademarks, source code, and related materials, is owned by شركة المورد العام للتجارة or its licensors. Tahdeeth is closed source unless expressly agreed otherwise in writing. Customers retain ownership of their own mobile applications, bundles, assets, release metadata, and customer data.

7. Confidentiality and Access to Customer Content

Tahdeeth does not view customer release content during normal SaaS operations. Access to customer content, logs, or environments may occur only where required to provide support, troubleshoot issues, comply with law, or as otherwise authorized by the customer or applicable agreement. Each party must protect confidential information received from the other party using reasonable care and must not use it except for the purpose of providing or receiving the services.

8. Support

Tahdeeth provides enterprise support only. Support scope, hours, severity levels, response targets, and escalation procedures are governed by the applicable commercial agreement, order form, or support terms.

9. Fees, VAT, Invoicing, and Payment

Tahdeeth pricing is custom quote-based and handled through proposals, invoices, order forms, or enterprise agreements. Online payments are not accepted through the public website. Fees are exclusive of applicable taxes unless otherwise stated. For customers in the Kingdom of Saudi Arabia, 15% VAT may apply where required by law. Late payment, suspension, renewal, and termination consequences are governed by the applicable commercial agreement. Tahdeeth may suspend access for non-payment after notice where permitted by contract. Fees are non-refundable unless expressly stated otherwise in a signed agreement.

10. Availability and SLA

The standard guaranteed SaaS availability commitment is 99%, subject to the applicable order form, service exclusions, scheduled maintenance, emergency maintenance, force majeure, customer-side issues, third-party failures, and exclusions stated in the commercial agreement. SLA details and any service credits must be set out in a separate written agreement or order form.

11. Disclaimers

Tahdeeth is provided on an enterprise basis and is intended to support controlled release operations, but it does not replace customer testing, release governance, security review, regulatory review, or app store compliance review. Tahdeeth is not responsible for customer code defects, failed releases caused by customer content, customer misconfiguration, customer infrastructure failures, app store policy violations, or crashes caused by customer applications or updates.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Tahdeeth and شركة المورد العام للتجارة shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunity, or business interruption. Unless a different cap is stated in a signed commercial agreement, Tahdeeth's total aggregate liability shall be limited to the fees paid by the customer for the affected service during the three months preceding the event giving rise to the claim.

13. Termination

Tahdeeth may suspend or terminate access where a customer breaches these Terms, fails to pay applicable fees, creates security risk, violates law or platform rules, or uses the service in a way that may harm Tahdeeth, other customers, end users, or infrastructure. Termination rights, data return, and transition assistance may be further governed by the applicable commercial agreement.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia. Unless otherwise agreed in writing, disputes shall be subject to the competent courts of the Kingdom of Saudi Arabia.

15. Changes to these Terms

Tahdeeth may update these Terms from time to time. Updated versions will be posted on the website or otherwise made available. Continued use of the website or platform after an update indicates acceptance of the updated Terms.
